These Terms of Service ("Terms") govern your access to and use of the VantaStaff website, platform, and managed virtual assistant services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.
These Terms apply to all visitors, leads, customers, and users of VantaStaff. If you enter into an order form, proposal, or service agreement with us, that document is incorporated by reference and may control if there is a direct conflict with these Terms.
You represent that you are at least 18 years old and have authority to bind yourself or the business you represent. You agree to provide accurate information and keep account details current.
VantaStaff provides managed support, matching, onboarding, communication workflows, and quality oversight for remote assistant services. Assistants may be sourced through VantaStaff affiliates, contractors, or partner entities. VantaStaff is not your employee leasing company, law firm, accounting firm, or fiduciary advisor.
We do not guarantee any specific business outcome, revenue result, or productivity target.
You are responsible for safeguarding your credentials, systems, and connected tools. You are responsible for all activity on your account and must promptly notify us of unauthorized access or suspected security incidents.
Unless otherwise stated in writing, Services are billed monthly in advance and auto-renew every billing cycle until canceled. By subscribing, you authorize recurring charges to your payment method for plan fees, approved add-ons, applicable taxes, and payment processing costs where disclosed.
If payment fails, we may retry charges, suspend access, pause service delivery, or reassign support resources until the account is brought current.
You may cancel by written notice to [email protected]. To avoid renewal for the next cycle, cancellation notice must be received at least 30 days before your next billing date unless a different notice period is in your signed agreement.
VantaStaff may replace assigned assistants, modify delivery workflows, or adjust service processes to maintain operational continuity and quality. We do not guarantee permanent assignment of any individual assistant.
You may not use the Services for unlawful, harmful, or abusive activity, including fraud, harassment, discrimination, sanctions evasion, IP infringement, malware distribution, unauthorized access, or work that violates labor, privacy, consumer protection, or financial laws.
During your active term and for 12 months after termination, you agree not to directly hire, contract, or otherwise engage assistants introduced through VantaStaff outside VantaStaff without our prior written consent.
All VantaStaff branding, site content, software, and materials are owned by VantaStaff or its licensors. You receive a limited, revocable, non-transferable right to use the Services for internal business purposes only.
Subject to full payment, client-specific deliverables created for you in the ordinary course of service are assigned to you, except for VantaStaff pre-existing materials, templates, tooling, and know-how.
Each party agrees to protect the other party's non-public business information using reasonable safeguards and to use that information only to perform obligations under these Terms. You are responsible for configuring your own systems, permissions, and retention policies.
The Services may involve third-party tools (for example, email, CRM, messaging, payment, or cloud providers). VantaStaff is not responsible for outages, policy changes, security events, or feature limitations caused by third-party providers.
You consent to receive service-related communications electronically, including email, call, SMS, or in-app messages where provided. Message and data rates from your carrier may apply.
The Services are provided "as is" and "as available." To the fullest extent permitted by law, VantaStaff disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted availability, error-free operation, or guaranteed outcomes.
To the maximum extent permitted by law, VantaStaff will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, goodwill, data, or business interruption.
VantaStaff's aggregate liability for all claims arising out of or related to the Services or these Terms will not exceed the total fees paid by you to VantaStaff in the three months preceding the event giving rise to the claim.
You agree to defend, indemnify, and hold harmless VantaStaff and its officers, directors, employees, and affiliates from claims, damages, liabilities, and costs (including reasonable attorneys' fees) arising from your instructions, data, content, misuse of Services, or breach of these Terms.
You represent that you are not subject to sanctions or trade restrictions and will not use the Services in violation of export controls, anti-money laundering laws, anti-bribery laws, or other applicable regulations.
VantaStaff may suspend or terminate Services for non-payment, suspected fraud, legal risk, security risk, abusive conduct, or material breach. Upon termination, your right to use the Services ends immediately, and any unpaid amounts become due.
Before filing a formal claim, each party agrees to attempt informal resolution by written notice and a 30-day negotiation period. If unresolved, disputes will be resolved by binding arbitration on an individual basis, except either party may seek injunctive relief for intellectual property or confidentiality violations.
You and VantaStaff waive any right to participate in class actions, class arbitrations, or representative proceedings.
If your signed order form specifies governing law or venue, that provision controls. Otherwise, these Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law principles.
We may update these Terms from time to time. Updated Terms are effective when posted on this page with a revised "Last updated" date. Continued use of the Services after an update constitutes acceptance of the revised Terms.
If any provision is held unenforceable, the remaining provisions remain in effect. These Terms, together with your order form (if any) and our Privacy Policy, form the entire agreement regarding the Services and supersede prior discussions on the same subject matter.
